Overview

Welcome to this website (this “Site”), which is owned and operated by Direct Web Solutions, an CA individual (“Direct Web Solutions”, "Direct Web"). These Terms of Use (these “Terms of Use”, "Usage Policy", "Terms") set forth the terms and conditions of your use of this Site and the products and services (individually and collectively, the “Services”) found at this Site.

The terms “we”, “us” or “our” shall refer to Direct Web Solutions. The terms “you”, “your”, “User” or “customer” shall refer to any individual or entity who accepts these Terms of Use by using this Site or the Services found at this Site. Nothing in these Terms of Use shall be deemed to confer any third-party rights or benefits.

Direct Web Solutions, in its sole and absolute discretion, may change or modify these Terms of Use, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. You acknowledge and agree that (i) Direct Web Solutions may notify you of such changes or modifications by posting them to this Site and (ii) your use of this Site or the Services found at this Site after such changes or modifications have been made (as indicated by the “Last Revised” date at the bottom of this page) shall constitute your acceptance of these Terms of Use as last revised. If you do not agree to be bound by these Terms of Use as last revised, do not use (or continue to use) this Site or the Services found at this Site.

Eligibility & Authority

This Site and the Services found at this Site are available only to Users who can form legally binding contracts under applicable law. By using this Site or the Services found at this Site, you represent and warrant that you are (i) at least eighteen (18) years of age and/or (ii) otherwise recognized as being able to form legally binding contracts under applicable law.

If you are agreeing to these Terms of Use on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to these Terms of Use, in which case the terms "you", "your", "User" or "customer" shall refer to such corporate entity. If, after your agreement to these Terms of Use, Direct Web Solutions finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in these Terms of Use. Direct Web Solutions shall not be liable for any loss or damage resulting from Direct Web Solution’s reliance on any instruction, notice, document or communication reasonably believed by Direct Web Solutions to be genuine and originating from an authorized representative of your corporate entity. If there is reasonable doubt about the authenticity of any such instruction, notice, document or communication, Direct Web Solutions reserves the right (but undertakes no duty) to require additional authentication from you.

Accounts & Data Transfer Abroad

Accounts. In order to access some of the features of this Site or use some of the Services found at this Site, you will have to create an account (an “Account”). You represent and warrant to Direct Web Solutions that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete. If Direct Web Solutions has reason to believe that your Account information is untrue, inaccurate, out-of-date or incomplete, Direct Web Solutions reserves the right, in its sole and absolute discretion, to suspend or terminate your Account. You are solely responsible for the activity that occurs on your Account, whether authorized by you or not, and you must keep your Account information secure, including without limitation your customer number/login, password, payment method(s), and shopper PIN(s). For security purposes, Direct Web Solutions recommends that you change your password and shopper PIN(s) at least once every six (6) months for each Account you have with Direct Web Solutions. You must notify Direct Web Solutions immediately of any breach of security or unauthorized use of your Account. Direct Web Solutions will not be liable for any loss you incur due to any unauthorized use of your Account. You, however, may be liable for any loss Direct Web Solutions or others incur caused by your Account, whether caused by you, or by an authorized person, or by an unauthorized person.

Transfer of Data Abroad. If you are visiting this Site from a country other than the country in which our servers are located, your communications with us may result in the transfer of information (including your Account information) across international boundaries. By visiting this Site and communicating electronically with us, you consent to such transfers.

Any dedicated IP order in addition to those provided with a hosting package may be subject to IP justification. IP justification practices are subject to change to remain in compliance with the policies of the American Registry for Internet Numbers (ARIN). We reserve the right to deny any dedicated IP request based on insufficient justification or current IP utilization.

The Service and any data you provide to Direct Web Solutions is hosted in Canada (CA) unless otherwise provided. If you access the Service from outside of Canada, you are voluntarily transferring information (potentially including personally-identifiable information) and content to Canada and you agree that our collection, use, storage and sharing of your information and content is subject to the laws of Canada, and not necessarily of the jurisdiction in which you are located.

Website Transfers

Our Transfers Team will make every effort to help you move your website to us. Transfers are provided as a courtesy service. We do not make any guarantees regarding the availability, possibility, or time required to complete an account transfer. Each hosting company is configured differently, and some hosting platforms save data in an incompatible or proprietary format, which may make it extremely difficult, if not impossible, to migrate some or all account data. In some cases we may not be able to assist you in a transfer of data from an old host. The free transfer service is available for thirty (30) days from your sign up date. Transfers outside of the thirty (30) day period will incur a charge; please contact a member of our Transfers department to receive a price quote. In no event shall Direct Web Solutions be held liable for any lost or missing data or files resulting from a transfer to or from Direct Web Solutions. You are solely responsible for backing up your data in all circumstances.

General Conduct Rules

You acknowledge and agree that:

Direct Web Solutions reserves the right to modify, change, or discontinue any aspect of this Site or the Services found at this Site, including without limitation prices and fees for the same, at any time.

Your Use Of Our Content & User-Content

In addition to the general rules above, the provisions in this Section 5 apply specifically to your use of Direct Web Solutions Content and User Content posted to Direct Web Solution’s corporate websites (i.e., those sites which Direct Web Solutions directly controls or maintains). The applicable provisions are not intended to and do not have the effect of transferring any ownership or licensed rights (including intellectual property rights) you may have in content posted to your hosted websites.

Direct Web Solutions Content. Except for User Content, the content on this Site and the Services found at this Site, including without limitation the text, software, scripts, source code, API, graphics, photos, sounds, music, videos and interactive features and the trademarks, service marks and logos contained therein (“Direct Web Solutions Content”), are owned by or licensed to Direct Web Solutions in perpetuity, and are subject to copyright, trademark, and/or patent protection in the United States, Canada, and foreign countries, and other intellectual property rights under United States, Canadian, and foreign laws. Direct Web Solutions Content is provided to you “as is”, “as available” and “with all faults” for your information and personal, non-commercial use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purposes whatsoever without the express prior written consent of Direct Web Solutions. No right or license under any copyright, trademark, patent, or other proprietary right or license is granted by these Terms of Use. Direct Web Solutions reserves all rights not expressly granted in and to the Direct Web Solutions Content, this Site and the Services found at this Site, and these Terms of Use do not transfer ownership of any of these rights.

User Content. Some of the features of this Site or the Services found at this Site may allow Users to view, post, publish, share, store, or manage (a) ideas, opinions, recommendations, or advice (“User Submissions”), or (b) literary, artistic, musical, or other content, including but not limited to photos and videos (together with User Submissions, “User Content”). By posting or publishing User Content to this Site or to the Services found at this Site, you represent and warrant to Direct Web Solutions that (i) you have all necessary rights to distribute User Content via this Site or via the Services found at this Site, either because you are the author of the User Content and have the right to distribute the same, or because you have the appropriate distribution rights, licenses, consents, and/or permissions to use, in writing, from the copyright or other owner of the User Content, and (ii) you do not violate the rights of any third party.

Security. You agree not to circumvent, disable or otherwise interfere with the security-related features of this Site or the Services found at this Site (including without limitation those features that prevent or restrict use or copying of any Direct Web Solutions Content or User Content) or enforce limitations on the use of this Site or the Services found at this Site, the Direct Web Solutions Content or the User Content therein.

Our Use Of User-Content

The provisions in this Section 6 apply specifically to Direct Web Solution’s use of User Content posted to Direct Web Solution’s corporate websites (i.e., those sites which Direct Web Solutions directly controls or maintains). The applicable provisions are not intended to and do not have the effect of transferring any ownership or licensed rights (including intellectual property rights) you may have in content posted to your hosted websites.

Generally. You shall be solely responsible for any and all of your User Content or User Content that is submitted through your Account, and the consequences of, and requirements for, distributing it.

With Respect to User Submissions. You acknowledge and agree that:

Direct Web Solutions shall own exclusive rights (including all intellectual property and other proprietary rights) to any User Submissions posted to this Site, and shall be entitled to the unrestricted use and dissemination of any User Submissions posted to this Site for any purpose, commercial or otherwise, without acknowledgment or compensation to you or to anyone else.

With Respect to User Content (Other Than User Submissions).

If you have a website hosted by Direct Web Solutions or another service provider, you shall retain all of your ownership or licensed rights in User Content posted to your website.

However, if you post or publish your User Content to this Site, you authorize Direct Web Solutions to use the intellectual property and other proprietary rights in and to your User Content to enable inclusion and use of the User Content in the manner contemplated by this Site and these Terms of Use. Accordingly, you hereby grant Direct Web Solutions a worldwide, non-exclusive, royalty-free, sublicensable (through multiple tiers), and transferable license to use, reproduce, distribute, prepare derivative works of, combine with other works, display, and perform your User Content in connection with this Site and Direct Web Solution’s (and Direct Web Solution’s affiliates’) business(es), including without limitation for promoting and redistributing all or part of this Site in any media formats and through any media channels without restrictions of any kind and without payment or other consideration of any kind, or permission or notification, to you or any third party. You also hereby grant each User of this Site a non-exclusive license to access your User Content (with the exception of User Content that you designate “private” or “password protected”) through this Site, and to use, reproduce, distribute, prepare derivative works of, combine with other works, display, and perform your User Content as permitted through the functionality of this Site and under these Terms of Use. The above licenses granted by you in your User Content terminate within a commercially reasonable time after you remove or delete your User Content from this Site. You understand and agree, however, that Direct Web Solutions may retain (but not distribute, display, or perform) server copies of your User Content that have been removed or deleted. The above licenses granted by you in your User Content are perpetual and irrevocable. Notwithstanding anything to the contrary contained herein, Direct Web Solutions shall not use any User Content that has been designated “private” or “password protected” by you for the purpose of promoting this Site or Direct Web Solution’s (or Direct Web Solution’s affiliates’) business(es).

Monitoring Of Content & Termination

Direct Web Solutions generally does not pre-screen User Content (whether posted to a website hosted by Direct Web Solutions or posted to this Site). However, Direct Web Solutions reserves the right (but undertakes no duty) to do so and decide whether any item of User Content is appropriate and/or complies with these Terms of Use. Direct Web Solutions may remove any item of User Content (whether posted to a website hosted by Direct Web Solutions or posted to this Site) and/or terminate a User’s access to this Site or the Services found at this Site for posting or publishing any material in violation of these Terms of Use, or for otherwise violating these Terms of Use (as determined by Direct Web Solutions in its sole and absolute discretion), at any time and without prior notice. Direct Web Solutions may also terminate a User’s access to this Site or the Services found at this Site if Direct Web Solutions has reason to believe the User is a repeat offender. If Direct Web Solutions terminates your access to this Site or the Services found at this Site, Direct Web Solutions may, in its sole and absolute discretion, remove and destroy any data and files stored by you on its servers.

Billing and Payment Information

1) Prepayment

It is your responsibility to ensure that your payment information is up to date, and that all invoices are paid on time. You agree to pay for the Services in advance of the time period during which such Services are provided. Subject to applicable laws, rules, and regulations, payments received will be first applied to the oldest outstanding invoice in your billing account.

2) Autorenewal

Unless otherwise provided, you agree that until and unless you notify Direct Web Solutions of your desire to cancel the Services, you will be billed on an automatically recurring basis to prevent any disruption to your Services, using your credit card or other billing information on file with us. You may disable the automatic renewal option for the Services at any time by contacting our support team. In the event that the account expires, all User Content will be permanently removed from the server. Please make a backup of all User Content before you disable autorenewal. So long as your Account remains active, other Services account such as domain names or Domain Privacy will continue to autorenew. Please contact Direct Web Solutions by phone or the contact page if you require any assistance.

3) Taxes

Listed fees for the Services do not include any applicable sales, use, revenue, excise or other taxes imposed by any taxing authority. Any applicable taxes will be added to Direct Web Solutions invoice as a separate charge to be paid by you. All fees are non-refundable when paid unless otherwise stated.

4) Failure to Pay

If you fail to pay the fees due for the Services, we may suspend or terminate your Services and pursue any collection costs incurred by Direct Web Solutions, including without limitation, any arbitration and legal fees and Direct Web Solutions' reasonable attorneys' fees. If any check is returned for insufficient funds, Direct Web Solutions may impose a minimum processing charge of $52.00 plus any applicable taxes. Accounts will not be reactivated until all outstanding amounts are paid. We are not responsible for any deleted or lost User Content that results from any suspension or termination of the Services.

Dedicated servers are subject to being reclaimed and all content deleted if you fail to make a timely payment. If you make a late payment, we do not automatically reactivate the dedicated servers. Contact Direct Web Solutions directly after you make a late payment to reactivate the dedicated server.

5) Domain Payments

It is solely your responsibility to notify Direct Web Solutions' Billing department after purchasing a domain. Domain renewal notices are provided as a courtesy reminder and Direct Web Solutions is not responsible for a failure to renew a domain or a failure to notify a customer about a domain's renewal. Domain renewals are billed and renewed fifteen (15) days before the renew date.

6) Fraud

It is a violation of this Agreement for you to misuse or fraudulently use credit cards, charge cards, electronic funds transfers, electronic checks, or any other payment method. Direct Web Solutions may report any such misuse or fraudulent use, as determined in Direct Web Solutions' sole discretion, to governmental and law enforcement authorities, credit reporting services, financial institutions and/or credit card companies.

7) Invoice Disputes

You have thirty (30) days to dispute any charge or payment processed by Direct Web Solutions. If you have any questions concerning a charge on your account, please reach out to our billing department for assistance.

8) Payment Card Industry Security Standard Disclaimer

Direct Web Solutions complies with the Payment Card Industry Security Standard ("PCI Standard") in connection with the collection and processing of our customer's data and billing information. However, you are solely responsible for the security of the data and billing information on your User Website. Direct Web Solutions does not monitor User Websites for PCI compliance and we are not able to verify whether a User Website complies with the PCI Standard.

Unused coupons will expire at your next renewal if not applied by that date

Additional Reservation Of Rights

Direct Web Solutions expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to (or control of) any Account or Services (including the right to cancel or transfer any domain name registration) for any reason (as determined by Direct Web Solutions in its sole and absolute discretion), including but not limited to the following: (i) to correct mistakes made by Direct Web Solutions in offering or delivering any Services (including any domain name registration), (ii) to protect the integrity and stability of, and correct mistakes made by, any domain name registry, (iii) to assist with our fraud and abuse detection and prevention efforts, (iv) to comply with applicable local, state, national and international laws, rules and regulations, (v) to comply with requests of law enforcement, including subpoena requests, (vi) to comply with any dispute resolution process, (vii) to defend any legal action or threatened legal action without consideration for whether such legal action or threatened legal action is eventually determined to be with or without merit, or (viii) to avoid any civil or criminal liability on the part of Direct Web Solutions, its officers, directors, employees and agents, as well as Direct Web Solution’s affiliates.

Direct Web Solutions expressly reserves the right to review every Account for excessive space and bandwidth utilization, and to terminate or apply additional fees to those Accounts that exceed allowed levels.

No Spam & Liquidated Damages

You acknowledge you have read, understand and agree to be bound by Direct Web Solution’s Anti-Spam Policy. You agree Direct Web Solutions may immediately terminate any Account which it believes, in its sole and absolute discretion, is transmitting or is otherwise connected with any spam or other unsolicited bulk email. In addition, if actual damages cannot be reasonably calculated then you agree to pay Direct Web Solutions liquidated damages in the amount of $1.00 for each piece of spam or unsolicited bulk email transmitted from or otherwise connected with your Account.

Trademark And / Or Copyright Claims

Direct Web Solutions supports the protection of intellectual property. If you would like to submit (i) a trademark claim for violation of a mark on which you hold a valid, registered trademark or service mark, or (ii) a copyright claim for material on which you hold a current and valid copyright, please send us a contact message via our contact page addressed to the legal department.

Links To Third-Party Websites

This Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by Direct Web Solutions. Direct Web Solutions assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites. In addition, Direct Web Solutions does not censor or edit the content of any third-party websites. By using this Site or the Services found at this Site, you expressly release Direct Web Solutions from any and all liability arising from your use of any third-party website. Accordingly, Direct Web Solutions encourages you to be aware when you leave this Site or the Services found at this Site and to review the terms and conditions, privacy policies, and other governing documents of each other website that you may visit.

IN ADDITION, You SPECIFICALLY ACKNOWLEDGE AND agree that in no event shall Direct Web Solution’s total aggregate liability exceed the total amount paid by you for the particular Services that ARE the subject of the cause of action.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND shall survive any termination or expiration of these Terms of Use or your use of this Site or the Services found at this Site.

HIPAA Disclaimer. We are not "HIPAA compliant."

You are solely responsible for any applicable compliance with federal or state laws governing the privacy and security of personal data, including medical or other sensitive data. You acknowledge that the Services may not be appropriate for the storage or control of access to sensitive data, such as information about children or medical or health information. Direct Web Solutions does not control or monitor the information or data you store on, or transmit through, the Services. We specifically disclaim any representation or warranty that the Services, as offered, comply with the federal Health Insurance Portability and Accountability Act ("HIPAA"). Customers requiring secure storage of "protected health information" as defined under HIPAA are expressly prohibited from using the Services for such purposes. Storing and permitting access to "protected health information" is a material violation of this Agreement, and grounds for immediate account termination. We do not sign "Business Associate Agreements" and you agree that Direct Web Solutions is not a Business Associate or subcontractor or agent of yours pursuant to HIPAA. If you have questions about the security of your data, you should contact our support team immediately.

Indemnity
